Termination by the Employee for Good Reason. Upon sixty (60) days’ prior written notice by the Employee to the Employer of the occurrence of Good Reason after a Change of Control, the Employee may terminate the Employee’s employment for Good Reason, unless such Good Reason event(s) are corrected by the Employer within thirty (30) days following written notification by the Employee. In the event of a termination for Good Reason, subject to the Employer receiving from the Employee an executed full and final release of the Employer and its affiliates in a form satisfactory to the Employer to be provided at the time of termination, the Employer shall only be required to provide the Severance Entitlements to the Employee on the same terms as set out in paragraphs 40.a, 40.b and 40.c.
