Termination at or after Six Months. If the Company terminates the Executive’s term of full-time employment at or after six (6) months of a Change in Control, the Executive shall receive, immediately upon employment termination, payment of (i) an amount equal to the Executive’s highest base annual salary rate during the twelve (12) month period preceding such termination; (ii) the Prorated Performance Bonus, determined in accordance with Section 4.6.2.1; and (iii) the Base Change in Control Payment, determined in accordance with Section 4.6.2.1.

  • Termination at Will Notwithstanding anything herein to the contrary, the Executive's employment with the Company is terminable at will with or without Cause; provided, however, that a termination of the Executive's employment shall be governed in accordance with the terms hereof.

  • Termination Period This Option shall be exercisable for three (3) months after Participant ceases to be a Service Provider, unless such termination is due to Participant’s death or Disability, in which case this Option shall be exercisable for twelve (12) months after Participant ceases to be a Service Provider.
