Common use of Tenant Parking Passes Clause in Contracts

Tenant Parking Passes. Tenant shall rent from Landlord, commencing on the Lease Commencement Date, up to the number of parking passes set forth in Section 8 of the Summary, on a monthly basis throughout the Lease Term, which parking passes shall pertain to the those certain portions of the Project parking facility designated by Landlord and shall entitle Tenant and/or its personnel to park one (I) vehicle in one (1) parking space per pass rented. Any such passes for reserved parking spaces shall be at locations in the Project which are described in Exhibit I attached hereto (the “Reserved Parking Area”). Any such passes for unreserved parking spaces shall be on a first-come, first-serve basis. Tenant’s continued right to use the parking passes is conditioned upon Tenant abiding by all reasonable rules and regulations which are prescribed from time to time for the orderly operation and use of the parking facility where the parking passes are located, including any sticker or other identification system established by Landlord (so long as Tenant is provided with at least thirty (30) days’ advance written notice of any such rules and regulations so prescribed and such rules and regulations do not materially interfere with Tenant’s use of or access to the Premises or its rights under this Lease), Tenant’s reasonable cooperation in seeing that Tenant’s employees and visitors also comply with such rules and regulations. In addition, Tenant shall comply with all applicable Laws. Accordingly, Tenant hereby agrees that Tenant shall not charge its employees for the parking passes utilized by such employees at the Project (notwithstanding any charge which may be imposed upon Tenant for such parking passes pursuant to the terms of this Lease). Landlord shall not reduce or relocate the Reserved Parking Area without Tenant’s advance written consent, which may be granted or withheld in Tenant’s sole discretion. At any time during the Term, Tenant may request additional parking passes for additional reserved parking spaces above the maximum number set forth in Section 8 of the Summary, which Landlord shall provide within thirty (30) days of receipt of Tenant’s request, subject to availability of such additional parking. Tenant shall pay Landlord on a monthly basis the prevailing rate charged from time to time for each month of the Lease Term for each such additional parking pass provided to Tenant pursuant to the provisions hereof. Prior to the expiration of the twenty-fourth (24th) full calendar month of the Lease Term, Tenant shall provide Landlord with at least thirty (30) days prior written notice if Tenant needs additional parking passes (up to the maximum number set forth in Section 8 of the Summary). Tenant Parking Passes. Subject to and upon the terms and conditions of this Article 28, beginning on the Lease Commencement Date and continuing throughout the Lease Term, (a) Tenant shall rent from Landlord, commencing on and Landlord shall rent to Tenant, Tenant’s Minimum Parking Passes (as hereinafter defined), and (b) Tenant shall have the right, but not the obligation, to rent parking passes in addition to Tenant’s Minimum Parking Passes, provided that the total amount of parking passes rented by Tenant hereunder (including Tenant’s Minimum Parking Passes) shall never exceed a maximum total of forty-five (45) parking passes (equivalent to four (4) parking passes per 1,000 usable square feet in the Premises) (“Tenant’s Maximum Parking Passes”). As used herein, “Tenant’s Minimum Parking Passes” initially means twenty-three (23) parking passes (equivalent to two (2) parking passes per 1,000 usable square feet in the Premises); provided, however, that effective upon the first (1st) anniversary of the Lease Commencement Date, up to the number of Tenant’s Minimum Parking Passes shall mean thirty-four (34) parking passes set forth in Section 8 of the Summary, on a monthly basis throughout the Lease Term, which (equivalent to three (3) parking passes per 1,000 usable square feet in the Premises). All parking passes rented by Tenant shall pertain to the those certain portions of unreserved parking on a first-come, first-serve basis in the Project parking facility designated by Landlord and shall entitle Tenant and/or its personnel facilities; provided that, at Tenant’s option, up to park one twenty-three (I23) vehicle in one (1) of Tenant’s Maximum Parking Passes may pertain to reserved parking space per pass rentedspaces. Any such passes for reserved parking spaces shall be at locations in the Project which are described parking facilities reasonably designated by Landlord and (i) the cost of identifying any reserved parking for Tenant shall be borne by Tenant, and (ii) upon notice to Tenant, Landlord may relocate any such reserved parking spaces to other location(s) in Exhibit I attached hereto the Project parking facilities designated by Landlord. Tenant may adjust the amount of parking passes rented hereunder from time to time upon thirty (30) days prior notice to Landlord (but not more frequently than quarterly), provided that Tenant shall never rent less than Tenant’s Minimum Parking Passes nor more than Tenant’s Maximum Parking Passes. Tenant shall pay to Landlord for all automobile parking passes rented by Tenant hereunder on a monthly basis the “Reserved Parking Area”). Any prevailing rate charged from time to time at the location of such parking passes (currently $75.00 per pass per month for unreserved parking spaces and $175.00 per pass per month for reserved parking). In addition, Tenant shall be on a first-come, first-serve basisresponsible for the full amount of any taxes imposed by any governmental authority in connection with the renting of such parking passes by Tenant or the use of the parking facility by Tenant. Tenant’s continued right to use the parking passes is conditioned upon Tenant abiding by all commercially reasonable non-discriminatory rules and regulations which are prescribed from time to time for the orderly operation and use of the parking facility where the parking passes are located, including any sticker or other identification system established by Landlord (so long as Tenant is provided with at least thirty (30) days’ advance written notice of any such rules and regulations so prescribed and such rules and regulations do not materially interfere with Tenant’s use of or access to the Premises or its rights under this Lease)Landlord, Tenant’s reasonable cooperation in seeing that Tenant’s employees and visitors also comply with such rules and regulationsregulations and Tenant not being in default under this Lease. Tenant shall pay Landlord on a monthly basis the prevailing rate charged from time to time for each month of the Lease Term for each such additional parking pass provided to Tenant pursuant to the provisions hereof. Prior to the expiration of the twenty-fourth (24th) full calendar month of the Lease Term, Tenant shall provide Landlord with at least thirty (30) days prior written notice if Tenant needs additional parking passes (up to the maximum number set forth in Section 8 of the Summary). Tenant Parking Passes. Tenant shall purchase throughout the Lease Term the number of monthly Must-Take Parking Passes set forth in Section 11 of the Summary, located in those portions of the Parking Facilities as may be designated by Landlord from time to time. In addition, Tenant shall have the right, from time to time, but not the obligation, to rent from Landlord, commencing on the Lease Commencement Date, up to the number amount of parking passes Optional Parking Passes set forth in Section 8 11 of the Summary, on a monthly basis throughout the Lease Term, which parking passes shall pertain to the located in those certain portions of the Project parking facility Parking Facilities as may be designated by Landlord and shall entitle Tenant and/or its personnel to park one (I) vehicle in one (1) parking space per pass rented. Any such passes for reserved parking spaces shall be at locations in the Project which are described in Exhibit I attached hereto (the “Reserved Parking Area”). Any such passes for unreserved parking spaces shall be on a first-come, first-serve basis. Tenant’s continued right to use the parking passes is conditioned upon Tenant abiding by all reasonable rules and regulations which are prescribed from time to time for the orderly operation and use of the parking facility where the parking passes are locatedtime; provided, including any sticker or other identification system established by Landlord (so long as Tenant is provided with at least thirty (30) days’ advance written notice of any such rules and regulations so prescribed and such rules and regulations do not materially interfere with Tenant’s use of or access to the Premises or its rights under this Lease), Tenant’s reasonable cooperation in seeing that Tenant’s employees and visitors also comply with such rules and regulations. In addition, Tenant shall comply with all applicable Laws. Accordingly, Tenant hereby agrees that Tenant shall not charge its employees for the parking passes utilized by such employees at the Project (notwithstanding any charge which may be imposed upon Tenant for such parking passes pursuant to the terms of this Lease). Landlord shall not reduce or relocate the Reserved Parking Area without Tenant’s advance written consent, which may be granted or withheld in Tenant’s sole discretion. At any time during the Termhowever, Tenant may request additional parking passes for additional reserved parking spaces above increase or decrease the maximum number set forth in Section 8 of the Summary, which Landlord shall provide within Optional Parking Passes rented by Tenant upon not less than thirty (30) days of receipt of Tenant’s request, subject written notice to availability of such additional parkingLandlord. Tenant shall pay to Landlord for the use of all such parking passes (but only including those Optional Parking Passes that Tenant has elected to take, from time to time, as provided above), on a monthly basis basis, the prevailing rate charged from time to time by Landlord or Landlord’s parking operator for each month parking passes in the Parking Facilities where such parking passes are located. As of the Lease Term date hereof, the prevailing rate for each such additional reserved parking passes is One Hundred Ten Dollars ($110.00) per reserved parking pass provided to Tenant pursuant to per month and the provisions hereof. Prior to prevailing rate for unreserved parking passes is Seventy-Five Dollars ($75.00) per unreserved parking pass per month; provided, however, that during the expiration first thirty-three (33) months of the twenty-fourth (24th) full calendar month of the initial Lease Term, Tenant shall provide Landlord receive a discount of Fifty Dollars ($50.00) for each unreserved parking pass and Seventy Dollars ($70.00) for each reserved parking pass (the “Parking Discount”), with at least thirty (30) days prior written notice if Tenant needs additional Landlord’s then prevailing rate for reserved and unreserved parking passes to be reduced by the applicable Parking Discount during such thirty-three (up 33) month period; provided further, however, by notice to Tenant, Landlord shall have the right to purchase the value of Parking Discount from Tenant for an amount equal to the maximum number set forth in Section 8 present value of the Summary)Parking Discount, discounted by eight and one-half percent (8.5%) per annum.
