Technical Reports, Documents or Illustrations. The Contractor shall be responsible for providing safe, dry and secure storage for the custody of all Contractor held documentation. The Contractor shall keep an off-site back-up copy of all Documentation covered by this Contract at a site geographically remote from where the working masters are stored. This data shall be backed-up to the off-site location no less frequently than weekly.

The Contractor shall keep an off-site back-up copy of all Documentation covered by this Contract at a site geographically remote from where the working masters are stored. This data shall be backed-up to the off-site location no less frequently than weekly. The Contractor shall be responsible for maintaining all AESPs detailed at Appendix 4 under the direction of the Authority. The Contractor shall issue updates to Publications when amendments have accumulated to be cost effective, in conjunction with the Authority. The Contractor shall be responsible for authoring all amendments to Publications and shall be responsible for their content and accuracy. The Contractor shall undertake all AESP authoring and amendments as a Core Activity. The Contractor shall be responsible for considering and incorporating as necessary, any vetting comments / amendments prior to formal issue. The Contractor shall also be responsible for performing all final editorial aspects (e.g. pagination and final proof reading). The Contractor shall undertake all AESP vetting comments/amendments, and final editorial aspects as a Core Activity. If an in depth review requiring more than 1 day of effort is required, this shall be agreed by the Authority and undertaken as a Non-Core activity following receipt of a Tasking Proforma Parts 1-3. The Contractor shall issue the final version of the amended Publications in Hardcopy and Softcopy (MS Word) format to the Operations Manager for publication.

  • Reports The Depositary shall make available for inspection by Owners at its Office any reports and communications, including any proxy solicitation material, received from the Company which are both (a) received by the Depositary as the holder of the Deposited Securities and (b) made generally available to the holders of those Deposited Securities by the Company. The Company shall furnish reports and communications, including any proxy soliciting material to which this Section applies, to the Depositary in English, to the extent those materials are required to be translated into English pursuant to any regulations of the Commission.

  • Deliverables Upon satisfactory completion of the work authorization, the Engineer shall submit the deliverables as specified in the executed work authorization to the State for review and acceptance.

  • Reporting Requirements The Company, during the period when the Prospectus is required to be delivered under the 1933 Act or the 1934 Act, will file all documents required to be filed with the Commission pursuant to the 1934 Act within the time periods required by the 1934 Act and the 1934 Act Regulations.

  • Information The Buyer and its advisors, if any, have been, and for so long as the Note remain outstanding will continue to be, furnished with all materials relating to the business, finances and operations of the Company and materials relating to the offer and sale of the Securities which have been requested by the Buyer or its advisors. The Buyer and its advisors, if any, have been, and for so long as the Note remain outstanding will continue to be, afforded the opportunity to ask questions of the Company. Notwithstanding the foregoing, the Company has not disclosed to the Buyer any material nonpublic information and will not disclose such information unless such information is disclosed to the public prior to or promptly following such disclosure to the Buyer. Neither such inquiries nor any other due diligence investigation conducted by Buyer or any of its advisors or representatives shall modify, amend or affect Buyer’s right to rely on the Company’s representations and warranties contained in Section 3 below. The Buyer understands that its investment in the Securities involves a significant degree of risk. The Buyer is not aware of any facts that may constitute a breach of any of the Company's representations and warranties made herein.
