Common use of Takedowns Clause in Contracts

Takedowns. Customer acknowledges and agrees that Mimecast will monitor for replications of Customer’s Domains, and in the event of a discovered Domain replication Mimecast will seek written confirmation from Partner that a discovered Domain is illegitimate and unauthorized by the Customer. With such written confirmation, Mimecast will report the imposter Domain to third party blocking sites and approach third-party registrars to request that the imposter Domain be disabled or blocked (each, a “Takedown”). Takedowns are treated as the Professional Services referenced in the Agreement and are limited to the number listed on the Services Order. Due to the nature of the Services provided, personnel will be available 24/7 to provide Support for the BEP Services.
