Common use of Suspension and Termination of Services Clause in Contracts

Suspension and Termination of Services. (i) District may direct Consultant to suspend, delay or interrupt Services, in whole or in part, for such periods of time as District may determine in its sole discretion. District may issue such directives without cause. District will issue such directives in writing. Suspension of Services shall be treated as an excusable delay. (ii) District may terminate performance of the Services under this Contract in whole, or from time to time in part, for default, should Consultant commit a material breach of this Contract, or part thereof, and not cure such breach within ten (10) calendar days of the date of District’s written notice to Consultant demanding such cure. In the event District terminates this Contract for default, Consultant shall be liable to District for all loss, cost, expense, damage and liability resulting from such breach and termination. (iii) District may terminate performance of the Services under this Contract in whole, or from time to time in part, for convenience, whenever District determines that such termination is in District’s best interests. In the event District terminates this Contract for convenience, Consultant shall be entitled to recover its costs expended up to the termination plus reasonable profit on those costs to the termination date, but may recover no other cost, damage or expense. (iv.) If at any time District believes Consultant is in default under this Agreement, District may in its sole discretion, demand Consultant provide District within seven days, written assurances of performance and a written plan to cure such default, and failure to do so shall constitute an event of default.

(iii.) Inspection Company acknowledges and agrees that the District’s Board may, in its own discretion, cancel, planned Projects or modify Project Schedules. District may terminate performance of the Services under this Contract Agreement in whole, whole or from time to time in part, for convenience, whenever District determines that such termination is in District’s best interestsinterest, such termination become effective three (3) business days after written notice of termination is provided by District to Inspection Company. In the event District terminates this Contract Agreement for convenience, Consultant Inspection Company shall be entitled to recover its costs expended up to the termination plus reasonable profit on those costs thereon to the termination date, but may recover no other cost, damage or expense. (iv.)
