Survival; Reliance. All agreements, representations and warranties made in this Agreement (and all agreements referred to or incorporated herein) will survive the execution of this Agreement (and all documents and agreements referred to or incorporated herein) and the making of the Loans and the execution and delivery of any notes. Notwithstanding anything in this Agreement (or any documents or agreements referred to or incorporated herein) to the contrary, no investigation or inquiry by any party with respect to any matter which is the subject of any representation, warranty, covenant or other agreement set forth herein or therein is intended, nor will it be interpreted, to limit, diminish or otherwise affect the full scope and effect of any representation, warranty, covenant or other agreement. All terms, covenants, agreements, representations and warranties of Borrowers made in any Loan Document, or in any certificate or other document delivered pursuant hereto will be deemed to be material and to have been relied upon by Lender, notwithstanding any investigation heretofore or hereafter made by Lender or its agents.

All terms, covenants, agreements, representations and warranties of each Party made herein (or in any documents or agreements referred to or incorporated herein), or in any certificate or other document delivered or to be delivered pursuant hereto, are deemed to be material and to have been relied upon by NBD, notwithstanding any investigation heretofore or hereafter made by NBD or its agents.
Survival; Reliance. Each representation, warranty, covenant and agreement of the Borrower contained in this Agreement shall survive the making of each Loan and the execution and delivery to the Lenders and the Agent of all Loan Documents and shall continue in full force and effect during the term of this Agreement except to the extent modified in accordance with the provisions of this Agreement. Each such representation, warranty, covenant and agreement shall be presumed to have been relied upon by each Lending Entity regardless of any investigation made or not made, or any information possessed or not possessed, by such Lending Entity.

The representations and warranties of the Pledgor set out in this Agreement or contained in any documents delivered to the Collateral Agent or any other Secured Party pursuant to this Agreement shall be considered to have been relied upon by the Secured Parties in entering into the Loan Documents and extending the credit or otherwise performing the transactions thereunder, notwithstanding any investigation on their respective parts.
Survival; Reliance. The representations and warranties of each Grantor set out in this Agreement or contained in any documents delivered to the Collateral Agent or any other Secured Party pursuant to this Agreement shall be considered to have been relied upon by the Secured Parties in entering into the Loan Documents and extending the credit or otherwise performing the transactions thereunder, notwithstanding any investigation on their respective parts.
Survival; Reliance. Survival; Reliance. The representations and warranties in Sections 2 and 3 of this Agreement shall expire and be of no further force and effect upon the Closing or the termination of the Offering, whichever shall occur earlier. Any representation or warranty contained herein may be relied upon by counsel to the Company in connection with any opinion delivered in connection with the transactions contemplated hereby.
Survival; Reliance. The representations, warranties, ------------------ covenants and agreements made by each of the parties hereto shall survive until the third anniversary of the Contribution Date, and each party hereto has the right to fully rely on the representations, warranties, covenants and agreements made by the other party.
Survival; Reliance. Each of the representations and warranties made by Seller in this Agreement or pursuant hereto shall survive the closing of the transactions contemplated hereby until September 30, 1999. Notwithstanding any knowledge of facts determined or determinable by the Purchaser by investigation, the Purchaser shall have the right to fully rely on the representations and warranties of Seller in this Agreement.
