Common use of Supplements to Disclosure Schedule Clause in Contracts

Supplements to Disclosure Schedule. From the Effective Date through the Closing Date, Seller will promptly notify Purchaser if Seller becomes aware of any fact or condition that causes or constitutes a breach of any of Seller's representations and warranties as of the Effective Date. Should any such fact or condition require any change in the Disclosure Schedule, Seller will promptly deliver to Purchaser a supplement to the Disclosure Schedule specifying such change.

From the Effective Date through Seller shall, prior to the Closing Date, Seller will promptly notify Purchaser if Seller becomes aware by written notice to Buyer, inform Buyer of any fact condition, change or condition event, that causes occurs or constitutes becomes known to Seller after the date of this Agreement which would result in a change or require a correction of the Disclosure Schedule, any such Schedule, or other disclosure; provided that no such supplemental disclosure shall be deemed to cure a breach of any of Seller's representations and warranties as of the Effective Date. Should any such fact or condition require any change in the Disclosure Schedule, Seller will promptly deliver to Purchaser a supplement to the Disclosure Schedule specifying such changehereunder.
