SUPERSEDES PRIOR CONTRACTS. This Master Contract includes the Main Document, Appendix A (Schools), Appendix B (Agencies), Appendix C (Room and Board), to the extent that they are applicable, and each ISA, all of which are incorporated herein by this reference and any exhibits or attachments hereto constitute the entire agreement between the parties to this contract and supersedes any prior contract, understanding, or agreement with respect to the terms set forth in this contract.

However, the Parties agree that any conflicting transaction-specific commercial or economic terms and conditions set forth on the face of this Purchase Order take precedence over the terms and conditions contained herein. The delay or failure by either Party to exercise or enforce any of its rights under this Purchase Order shall not constitute or be deemed a waiver of that Party's right thereafter to enforce those rights, nor shall any single or partial exercise of any such right preclude any other or further exercise of this right or any other right.
