Success Services. During the Term, Hearsay shall provide Customer with Success Services for the Services in accordance with Hearsay’s troubleshooting categorizations and standard response procedures, described further within an SOW at no additional charge. Any such additional Success Services, and any fees associated with the additional Success Services, shall be set forth in a separate Order Form or SOW. Hearsay may update its standard Success Services at any time during the Term, provided that a) Hearsay provides Customer with at least thirty (30) days’ written notice of the specific changes being made, and b) the changes shall be effective upon the commencement of the next Order Form Term unless Customer consents to such changes earlier. Hearsay is under no obligation to provide Success Services for any code, content or other materials that were not developed, implemented or modified by Hearsay. Any Success Services for errors identified during Customer’s performance warranty period as set forth in Section 9.2(B) (Hearsay Warranty) shall be performed at no charge even if correction for the identified error continues after the performance warranty period. Hearsay provides a range of training and education to support the use of the Service. Initial training provided to Customer is described in the relevant Order Form. Additional training may be made available and provided upon request.
Success Services. The Success Services are designed to enable customers to maximize their adoption, usage, and value of the Subscription Services. Any services beyond those described in the following table will result in additional fees to be scoped and agreed upon by both parties.
Success Services. In addition to the Enterprise Roadmap service and the installation and/or upgrade service described above, we will provide you with required assistance and information resources in your application of Enterprise Infrastructure for your particular needs, per the initiatives jointly agreed upon in the annual Enterprise Roadmap. OSIsoft will provide such services up to an annual amount of twenty-two (22) 8-hour days, valid for one (1) year from the initial Term year, and for each Term year thereafter commencing on each anniversary date of the Effective Date of this enterprise agreement (“guaranteed Success Services hours”). Guaranteed Success Services hours cannot be carried over from one Term year to the next, or to subsequent years. The scope of work for each Service engagement will be created by the CSM for your review and approval. The scope of work will include a description of the deliverables, your required participation, applicable costs, if any, and the anticipated scheduling. You shall bear complete responsibility for determining whether any concepts, preliminary designs, application recommendations or advice we provide you is appropriate for your operations. Our personnel delivering Services will strive to understand your business, but in no event do we represent that such personnel are experts in your particular industry. While your operational and business data will remain your confidential information, you acknowledge that we may utilize deliverables of general applicability which do not include your confidential information, to assist other customers or improve the Enterprise Licensed Software, even if such deliverables are based upon requirements that you provide us. These materials may include, but are not limited to, non-confidential application designs, architecture, general engineering or programming methodologies in common use or within a particular industry, algorithms, sample screens or enhancements to the Enterprise Licensed Software. These services will be performed remotely from our offices. On an exception basis as expressly agreed in the Enterprise Roadmap and subject to the Travel and Living Expenses terms of this agreement, these services may be performed on-site at your facilities.   • Verizon OSS Services 8.2.1 Upon request by GNAPS, Verizon shall provide to GNAPS Verizon OSS Services. Such Verizon OSS Services will be provided in accordance with, but only to the extent required by, Applicable Law. 8.2.2 Subject to the requirements of Applicable Law, Verizon Operations Support Systems, Verizon Operations Support Systems functions, Verizon OSS Facilities, Verizon OSS Information, and the Verizon OSS Services that will be offered by Verizon, shall be as determined by Verizon. Subject to the requirements of Applicable Law, Verizon shall have the right to change Verizon Operations Support Systems, Verizon Operations Support Systems functions, Verizon OSS Facilities, Verizon OSS Information, and the Verizon OSS Services, from time-to-time, without the consent of GNAPS. 8.2.3 To the extent required by Applicable Law, in providing Verizon OSS Services to GNAPS, Verizon will comply with Verizon’s applicable OSS Change Management Guidelines, as such Guidelines are modified from time-to-time, including, but not limited to, the provisions of the Guidelines related to furnishing notice of changes in Verizon OSS Services.
