Subsidiary Representation. Each representation and warranty in each Credit Agreement as to the Borrower's ownership of Subsidiaries is amended in its entirety to state that the Guarantors and Sunbelt Freight, Inc. are the only Subsidiaries of Borrower and all such Subsidiaries are wholly owned by Borrower except CM Partnership whose 99% limited partnership interest is owned by Cal-Maine Farms and whose 1 % general partnership interest is owned by Borrower.

Subsidiary Representation. PCI represents that it owns, directly or indirectly and legally-or beneficially, all of the outstanding capital stock or ownership interests in the capital and profits of American Energy, Potomac Nevada, and PCI Air. Subject to the terms of this Agreement, PCI shall prevent the occurrence of a "cumulative net loss date" as of any date prior to January 11, 2003. A "cumulative net loss date" shall occur as of any date on which the cumulative amount of all items of deduction accrued by the Company exceeds the cumulative amount of all items of income accrued by the Company (in each case as determined on a gross basis for federal income tax purposes) from the Effective Date through such date. London Branch represents that BTNY owns, directly or indirectly and legally or beneficially, all of the outstanding capital stock or ownership interests in the capital and profits of BTCo and BT Florida.

The parties have agreed that, in the event that our Parent's designees are elected or appointed to Convergent's board of directors, all members of the special committee of the board will remain on Convergent's board of directors. The affirmative vote of a majority of the special committee will be required after the acceptance for payment of shares pursuant to our offer and prior to the effective time of the merger, before Convergent (1) amends or terminates the merger agreement, (2) exercises or waives any of its rights, benefits or remedies under the merger agreement if such exercise or waiver adversely affects holders of shares (other than ours or our Parent), (3) takes any other action under or in connection with the merger agreement if such action adversely affects holders of shares (other than ours or our Parent) or (4) take any other action on behalf of Convergent in connection with the merger agreement required to be taken by Convergent's board of directors.
