Submission of Notice. The purchase of Membership Interests is intended to be treated for U.S. federal income tax purposes as an asset purchase followed by a deemed contribution by Purchaser to Seller Mezz II. At Closing, Purchaser shall submit to Seller Mezz II a notice of non-recognition form. Seller Mezz II shall submit such notice of non-recognition form to the Director, Philadelphia Service Center, Internal Revenue Service by the 20th day after the Closing, together with a cover letter setting forth the name, identifying number, and office address of Seller Mezz II in accordance with Notice 89-57.
