Subdivision of entirety once-off: in the event of further subdivision of the Purple Land where the whole of the Purple Land or the whole of the remaining part of the Purple Land is being subdivided and there are no balance of title lots (or the Shire is not strongly satisfied that there are any ‘balance of title’, then liability for the whole of the Purple Land or the remaining part of the Purple Land is to be discharged, and the liability shall be due and payable:

Subdivision of entirety once-off: in the event of further subdivision of the Blue Land where the whole of the Blue Land or the whole of the remaining part of the Blue Land is being subdivided and there are no balance of title lots (or the Shire is not strongly satisfied that there are any ‘balance of title’ lots), then liability for the whole of the Blue Land or the remaining part of the Blue Land is to be discharged. Additionally, if there was no earlier staged subdivision which had attracted the operation of the immediately preceding sub-clause (ii) then liability for the whole of the Yellow Land is also to be discharged.   • Subdivision Landlord reserves the right to further subdivide all or a portion of the Project.   • Organizational Structure The ISO will be governed by a ten (10) person unaffiliated Board of Directors, as per Article 5 herein. The day-to-day operation of the ISO will be managed by a President, who will serve as an ex-officio member of the ISO Board, in accordance with Article 5 herein. There shall be a Management Committee as per Article 7 herein, which shall report to the ISO Board, and shall be comprised of all Parties to the Agreement. There shall be at least two additional standing committees, the Operating Committee, as provided for in Article 8, and the Business Issues Committee, as provided for in Article 9, both of which shall report to the Management Committee.   • Organization and Standing The Company is a corporation duly formed, validly existing and in good standing under the laws of the State of Delaware. The Company has all requisite power and authority to own and operate its properties and assets, to execute and deliver this Subscription Agreement, and any other agreements or instruments required hereunder. The Company is duly qualified and is authorized to do business and is in good standing as a foreign corporation in all jurisdictions in which the nature of its activities and of its properties (both owned and leased) makes such qualification necessary, except for those jurisdictions in which failure to do so would not have a material adverse effect on the Company or its business.

  • Consolidation of Grievances If the grievance involves a group of employees or if a number of employees file separate grievances on the same matter, the grievances shall, whenever possible, be handled as a single grievance.

  • CHANGE OF T-PIN The Account Holder may change his T-PIN from time to time in accordance with the Bank’s prescribed procedure then prevailing. The Bank shall be entitled, in its reasonable discretion but without liability and without giving any reason, to reject any selection made by the Account Holder as his substituted T-PIN; if the Bank so approves, such substituted T-PIN, shall take effect from the time of receipt by the Bank of such instructions from the Account Holder. The Account Holder shall take all steps not to select such numbers as a substitute T-PIN which may easily be ascertained or otherwise facilitate fraud or forgery.

  • Change of Office If an Agent changes the address of its specified office in a city it shall give the Issuer and the Fiscal Agent at least 60 days’ notice of the change, giving the new address and the date on which the change is to take effect.

  • Corporate Organization The Company is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware, and has all requisite corporate power and authority to own, operate and lease its properties and to carry on its business as and in the places where such properties are now owned, operated and leased or such business is now being conducted.
