STELLAR. MLS Database: All data available to Subscriber on the STELLAR MLS System, including the Subscriber Contribution and all other text, binary, and photographic image data, in any form now known or hereafter discovered. STELLAR MLS Policies: STELLAR MLS’s bylaws, rules and regulations, and policies and procedures adopted by STELLAR MLS’s board of directors or authorized delegates, as STELLAR MLS amends them from time to time.
STELLAR. MLS will make no effort to secure for Firm the right to use copyright works created by Subscribers or third parties.
STELLAR. Stellar shall indemnify, defend and hold You harmless from any and all liabilities, losses, damages, suits, penalties, fines, costs or expenses (including, reasonable attorneys’ fees and other applicable expenses) relating to third-party claims that Services infringe upon/on that party’s Intellectual Property Rights (“Infringement Claim”). Our obligation under this is contingent upon Your prompt written notice of any such claim and reasonable assistance in defending any such Infringement Claim.
STELLAR. MLS may collect fines from Firm and from Participant for violation of the STELLAR MLS Policies by Firm, Participant and Subscribers. Payment terms for fines are set out in the STELLAR MLS Policies. STELLAR MLS may amend its schedule of fines and terms for collecting them at its sole discretion at any time.

  • Cornerstone shall use its best efforts to register or qualify such shares under such other securities or "blue sky" laws of such jurisdictions as the LLC reasonably requests and do any and all other acts and things which may be reasonably necessary or advisable to enable the LLC to consummate the disposition in such jurisdictions of the Registered Shares (provided that Cornerstone shall not be required to (i) qualify generally to do business in any jurisdiction in which it would not otherwise be required to qualify but for this Section 6.9, (ii) subject itself to taxation in any such jurisdiction, or (iii) consent to general service of process in any such jurisdiction).

  • Celsius 43 cents per hour extra; in excess of 54 Celsius 58 cents per hour extra. Where work continues for more than two hours in temperatures exceeding 54 Celsius, employees shall be entitled to 20 minutes rest after every two hours work without deduction of pay. The temperature shall be determined by the supervisor after consultation with the employees who claim the extra rate.

  • API If the Software offers integration capabilities via an API, your use of the API may be subject to additional costs or Sage specific policies and terms and conditions (which shall prevail in relation to your use of the API). You may not access or use the API in any way that could cause damage to us or the Software, or in contravention of any applicable laws. We reserve the right in our sole discretion, to: (i) update any API from time to time; (ii) place limitations around your use of any API; and (iii) deny you access to any API in the event of misuse by you or to otherwise protect our legitimate interests.

  • Manufacturer A firm that operates or maintains a factory or establishment that produces on the premises, the materials or supplies obtained by the Contractor. Regular Dealer - A firm that owns, operates, or maintains a store, warehouse, or other establishment in which the materials or supplies required for the performance of the contract are bought, kept in stock, and regularly sold to the public in the usual course of business. A regular dealer engages in, as its principal business and in its own name, the purchase and sale or lease of the products in question. A regular dealer in such bulk items as steel, cement, gravel, stone, and petroleum products need not keep such products in stock, if it owns and operates distribution equipment for the products. Brokers and packagers are not regarded as manufacturers or regular dealers within the meaning of this section. United States Department of Transportation (USDOT) - Federal agency responsible for issuing regulations (49 CFR Part 26) and official guidance for the DBE program.

  • Distributor The Trust hereby appoints the Distributor as general distributor of shares of beneficial interest (“Series shares”) of the Trust’s WCM Funds series (the “Series”) during the term of this Agreement. The Trust reserves the right, however, to refuse at any time or times to sell any Series shares hereunder for any reason deemed adequate by the Board of Trustees of the Trust.
