Section 3.8(d) of the Disclosure Schedule also identifies the written agreements and describes all oral agreements pursuant to which each such person or entity assigned or licensed its rights in such intellectual property to Company or acknowledged Company's ownership rights therein. Correct and complete copies of each such agreement or assignment or license has been furnished to IFC. The employees and former employees of Company do not have any right, title or interest in the Software, Copyrights, Trademarks, or other Company Intellectual Property.
