Common use of SLT Clause in Contracts

SLT. SLT represents and warrants that: (A) it is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware and it has the corporate power and authority to enter into this Agreement and to perform its obligations hereunder; (B) the execution, delivery and performance of this Agreement have been duly authorized by all necessary corporate action on the part of SLT; (C) the execution, delivery and performance of this Agreement does not violate any separate agreement it has with any other person or entity; and (D) it is not a party to any agreement or arrangement that would prevent it from carrying out its obligations to the other party under this Agreement.
