Common use of Situs of Issuer Clause in Contracts

Situs of Issuer. The Issuer will be located and administered in the State of Delaware. All bank accounts maintained by the Owner Trustee on behalf of the Issuer shall be located in the States of Delaware, California, Nevada, North Carolina or New York. The Issuer shall not have any employees in any State other than the State of Delaware; provided, however, that nothing herein shall restrict or prohibit the Owner Trustee from having employees within or without the State of Delaware. Payments will be received by the Issuer only in, and payments will be made by the Issuer only from, the States of Delaware, California, North Carolina, Nevada or New York. The only office of the Issuer will be at the Corporate Trust Office.
