Common use of SideFX Options Clause in Contracts

SideFX Options. If the Software infringes, or in the reasonable determination of SideFX is likely to infringe, any third party's intellectual property rights, SideFX may, at its option, either: (i) procure for Licensee the right to continue Using the Software or replace or modify the Software (without loss of functionality) so that it becomes non-infringing; or (ii) terminate this Agreement and refund the license fee paid by Licensee less a reasonable amount for any value received by Licensee.
