Services Excluded Sample Clauses
The "Services Excluded" clause defines which services are not covered under the agreement. Services Excluded. The parties may specifically exclude certain services from the operation of this Agreement by written addendum hereto and acknowledge and agree that the following items are not intended to be included among the services to be provided by WCC:
2.8.1. WCC agrees that neither it or any affiliate or fund with which it is associated is or shall be a market-maker, dealer or underwriter of any of the Company's securities (but may be a placement agent by other "Selling Agreement" from time to time) in the Company's securities;
2.8.2. Any payments made herein to WCC are not, and shall not be construed as, compensation to WCC for the purposes of making a market, to cover WCC out-of-pocket expenses for making a market, or for the submission by WCC of an application to make a market in any of the Company's securities;
2.8.3. No payment made herein to WCC are for the purpose of affecting the price of any security or influencing any market-making functions, including but not limited to bid/ask quotations, initiation and termination of quotations, retail securities activities, or for the submission of any application to make a market.
2.8.4. It is understood and agreed that in performing any of the services contemplated by this Agreement, WCC shall not be taken to be rendering any legal opinions or any work that is in the ordinary purview of a Certified Public Accountant or of a licensed NASD broker/dealer.

Membership in the PRACTICE does not include immunizations, laboratory tests, medical devices, emergency room medical services, specialist care, Patient Agreement 2 hospital care, radiology, or other specialty health care needs. Patients may refer to the service price lists for details. If the Provider feels a health care need is outside of the scope of his/her training, referral to a specialist will be warranted. Membership in the PRACTICE does not preclude medically necessary specialist evaluation or referral as deemed appropriate by the Provider. Although the PRACTICE may help procure specialist cash pricing for the Members and Non- members, the PRACTICE does not guarantee discounted specialist pricing. If the PRACTICE does not have information providing specialist cash pricing on hand, it will be the patient’s responsibility to obtain such pricing at the specialist's office to whom the provider refers the Member.

Services Excluded. Any service not otherwise identified in this agreement. The Client will own their respective GIS data and must authorize individuals be granted or denied access. The Client must register a GIS data ▇▇▇▇▇▇▇(s) with the IRM group The “GIS Data ▇▇▇▇▇▇▇ Authorization” form (see 7.a.3.g) must be filled out by Client and signed by department head authorizing a GIS data ▇▇▇▇▇▇▇ to make GIS request to IRM. Will be responsible for approving and requesting all access to the Client’s GIS data by sending email to ▇▇▇▇▇▇▇@▇▇.▇▇▇. Will be required to provide to the IRM group user setup information and any additional information needed for access by sending email to ▇▇▇▇▇▇▇@▇▇.▇▇▇. The Client must register Client technical contact person(s) with the Information Technology Enterprise GIS Research and Development Administration group. The Client must install required GIS Client software on Client machines. The Client will provide project management documentation in accordance with the Restructuring Act and will maintain an up to date project plan. The project plan will be maintained utilizing the web based tools provided by Information Technology, Enterprise GIS unit. The Client must provide first level GIS technical support to their organization. In the event the Client determines (after reviewing the Content and Knowledge database) the problems must be resolved by IT, the Client technical contact person must contact the Information Technology Enterprise GIS Research and Development Administration group (see 1.b) Monday-Friday, 8am -5 pm, Or, the Virginia Tech Operations Center at (540) 231-HELP if the problem occurs outside normal business hours, The Client technician contact person must remain available to work with the Virginia Tech Operations Center during the resolution of the problem. The Client must notify their users of planned or unplanned outages. The Client and/or users must manage their own Oracle password. The Client will be responsible for user software. The Client will be responsible for changing passwords and requesting that IRM de-provision accounts for users that change departments or leave the University.
Services Excluded. This Agreement covers only the right to use the Software and acquire Software Assurance. To the extent Customer requires any other related services not specifically addressed in the Agreement (e.g., software instal- lation and configuration for Customer’s use, custom program- ming, training, integration of Updates and Upgrades), Cus- tomer may procure such services (to be performed by TimeX- tender or TimeXtender’s Partner, as appropriate) by separate contract. Customer agrees that TimeXtender shall not be re- sponsible for the results attained from any such services di- rectly provided to Customer by TimeXtender’s Partner, or other third party not related to TimeXtender; it being ex- pressly agreed that Customer shall look solely to TimeX- tender’s Partner, or such other unrelated party for any claims, demands or other remedies with respect to the performance of such services.
