Seller’s Transaction Costs. The Sellers shall pay for the following items in connection with this transaction: (i) the fees and expenses of the Sellers’ legal counsel, accountants, and consultants, (ii) any fees or expenses payable for the assignment, transfer or conveyance of any Contracts, Licenses or Permits; and (iii) the cost of clearing title and filing any documents required for such.
