Seller shall be entitled Sample Clauses

Seller shall be entitled to perform two different delivery attempts should the first attempt fail due to a reason attributable to Seller. In the event the second attempt also fails, due to a reason attributable to Seller, Buyer shall be entitled to withdraw the purchase order provided Buyer has given 15 days’ written notice to Seller requiring the delivery to be made and Seller has not fulfilled the delivery within that period. Subject to Condition 4.4, if Seller fails to fulfil the delivery within 15 days, Buyer shall be entitled to cancel the Order. Seller’s sole liability and Buyer’s exclusive remedy for such non-delivery will be limited to (a) refunding any sums which Buyer has paid for the undelivered Goods and (b) reimbursing for the reasonable and proper external costs and expenses incurred by Buyer in obtaining replacement goods of similar description and quality at the lowest available market price, less the Price of the relevant Goods. Buyer will be under no liability to make any payments under Condition 2 in respect of that Order or part of the Order which has been cancelled.
