Seamless Services. Call-Net will, subject to limitations imposed by Canadian regulatory requirements, and except as otherwise provided in this agreement, provide the Licensed Services actually deployed in the Territory to its end user customers that are functionally equivalent to and seamless with the corresponding Licensed Services offered by Sprint to its customers in the United States by making commercially reasonable efforts to implement and operate network architectures, interfaces and other systems and facilities, by providing sufficient personnel, and where commercially preferable, by obtaining Functional Services from Sprint, or otherwise obtaining the services as required. “Functionally equivalent and seamless” Licensed Services means Call-Net will: (a) design, engineer, implement and maintain its facilities in order to provide Licensed Services in the Territory that provide functionality to the end user that is substantially similar to the end user functionality provided by Sprint in the United States; and (b) design, engineer, implement and maintain its facilities to provide a quality, reliable service that provides to the end user a service level that is functionally indistinguishable from that provided by Sprint in the United States; except to the extent restricted; (i) by Canadian Requirements; or (ii) because Call-Net does not have rights to the requisite underlying Intellectual Property; or (iii) because the product or service is a Previously Licensed Service; or (iv) the Canadian market dictates a different solution in respect of a given Licensable Service. For greater certainty, in respect of the restrictions described above, where Sprint’s Intellectual Property is not available to Call-Net or where the Canadian market otherwise dictates a different solution in respect of a given Licensable Service, Call-Net’s Licensed Services Framework in respect of the Licensable Service cannot be rejected for that reason, notwithstanding that Call-Net may have developed on its own or outsourced to a third party certain intellectual property or technology elements, so long as the other requirements in Section 2.2.2 are met; and except if the Licensable Service will be different from the customer’s perspective, the Authorized Marks will only be the Sprint Primary Marks. Call-Net will procure Services from Sprint or third parties, if commercially preferable, under this agreement, including, without limitation, technical assistance, engineering or management support service...
Seamless Services. In the past, there has been a lack of co-ordination and cohesion in the way partners across Staffordshire have delivered services. Agencies have engaged with communities using their own means and approaches, which have often overlapped with communities being consulted more than once on the same issue, with the same results. The LAA will ensure that the work of different agencies across Staffordshire becomes more joined up and that we engage with our communities in the same way, together to achieve common goals. Through the LAA, partners have also expressed a real commitment to eliminating rigid and impenetrable organisational boundaries which have previously hindered the delivery of services. The LAA will enable us to take a cohesive approach to address the challenges faced by Staffordshire’s communities by focusing activity and resources from autonomous partners at a district and neighbourhood level and by co- ordinating local services. This LAA will be used to drive integration at both a county wide and district level between and across the themes, through strong partnership working. Delivering overall quality of life improvements in all our communities is complex and will require integrated solutions, tailored to individual communities needs.

  • Verizon OSS Services 8.2.1 Upon request by PNG, Verizon shall provide to PNG Verizon OSS Services. Such Verizon OSS Services will be provided in accordance with, but only to the extent required by, Applicable Law. 8.2.2 Subject to the requirements of Applicable Law, Verizon Operations Support Systems, Verizon Operations Support Systems functions, Verizon OSS Facilities, Verizon OSS Information, and the Verizon OSS Services that will be offered by Verizon, shall be as determined by Verizon. Subject to the requirements of Applicable Law, Verizon shall have the right to change Verizon Operations Support Systems, Verizon Operations Support Systems functions, Verizon OSS Facilities, Verizon OSS Information, and the Verizon OSS Services, from time-to-time, without the consent of PNG. 8.2.3 To the extent required by Applicable Law, in providing Verizon OSS Services to PNG, Verizon will comply with Verizon’s applicable OSS Change Management Guidelines, as such Guidelines are modified from time-to-time, including, but not limited to, the provisions of the Guidelines related to furnishing notice of changes in Verizon OSS Services. Verizon’s OSS Change Management Guidelines will be set out on a Verizon website.

  • Network Services Local Access Services In lieu of any other rates and discounts, Customer will pay fixed monthly recurring per-circuit local loop charges ranging from $152 to $1,504 and non-recurring charges ranging from $200 to $1,000 for DS-1 and DS-3 Access Service at 4 CLLI codes mutually agreed upon by the Customer and the Company.

  • Witness Services At all times from and after the Separation Time, each of Air Products and Versum shall use its commercially reasonable efforts to make available to the other, upon reasonable written request, its and its Subsidiaries’ officers, directors, employees and agents (taking into account the business demands of such individuals) as witnesses to the extent that (i) such Persons may reasonably be required to testify in connection with the prosecution or defense of any Action in which the requesting Party may from time to time be involved (except for claims, demands or Actions in which one or more members of one Group is adverse to one or more members of the other Group) and (ii) there is no conflict in the Action between the requesting Party and the other Party. A Party providing a witness to the other Party under this Section 7.4 shall be entitled to receive from the recipient of such witness services, upon the presentation of invoices therefor, payments for such amounts, relating to supplies, disbursements and other out-of-pocket expenses (which shall not include the costs of salaries and benefits of employees who are witnesses or any pro rata portion of overhead or other costs of employing such employees which would have been incurred by such employees’ employer regardless of the employees’ service as witnesses), as may be reasonably incurred and properly paid under applicable Law.
