Scope of Representations and Warranties of the Parties. Except as and to the extent expressly set forth in this Agreement (together with the schedules attached hereto and the items delivered pursuant to this Agreement) and/or the Ancillary Documents, the Parties make no representations or warranties whatsoever, and disclaim all liability and responsibility for any 42 representation, warranty, statement made or information communicated (orally or in writing) to the other Party including, but not limited to, any opinion, information or advice that many have been provided to any Party by any officer, stockholder, director, employee, advisor, legal counsel or any other agent, consultant or representative of such Party.
