Common use of SaaS Clause in Contracts

SaaS. 2.1 PolderValley hereby grants to Customer, during the Term, a non-exclusive, non-assignable, non-transferable (unless otherwise agreed in writing) right to access and use the SaaS product from PolderValley or distributed through a distributor reseller or a service provider of PolderValley (collectively referred to as “PolderValley Partner”), subject to the terms of 2.2 The use of the SaaS product is subject to payment of the fee and the fulfilment of all requirements stipulated in this Agreement. The rights granted herein are limited to 2.3 Customer acknowledges and agrees that nothing herein transfers or conveys to Customer any right, title or interest to any intellectual property rights in or to the SaaS product and any part thereof or copy thereof. No title to any intellectual property rights is transferred to the Customer. 2.4 Customer acknowledges that this Agreement is a services agreement and PolderValley will not be delivering copies of the ProductivityPerformer as part of the SaaS product.
