Rule 17g-5 Compliance. PrimeLending hereby agrees that it shall provide information with respect to the Mortgage Loans or the origination thereof to any Rating Agency or nationally recognized statistical rating organization (“NRSRO”) via electronic mail at rxxx00x0xxxxxxxxxxxxxxxxxxx@xxxxxxxxxx.xxx, with a subject reference of “SEMT 2012-4” and an identification of the type of information being provided in the body of such electronic mail. The Securities Administrator, as the initial Rule 17g-5 Information Provider (the “Rule 17g-5 Information Provider”) shall notify PrimeLending in writing of any change in the identity or contact information of the Rule 17g-5 Information Provider. PrimeLending shall have no liability for (i) the Rule 17g-5 Information Provider’s failure to post information provided by it in accordance with the terms of this Agreement or (ii) any malfunction or disabling of the website maintained by the Rule 17g-5 Information Provider. None of the foregoing restrictions in this Section 22 prohibit or restrict oral or written communications, or providing information, between PrimeLending, on the one hand, and any Rating Agency or NRSRO, on the other hand, with regard to (i) such Rating Agency’s or NRSRO’s review of the ratings it assigns to PrimeLending or (ii) such Rating Agency’s or NRSRO’s evaluation of PrimeLending’s operations in general; provided, however, that PrimeLending shall not provide any information relating to the Mortgage Loans to such Rating Agency or NRSRO in connection with such review and evaluation by such Rating Agency or NRSRO unless: (x) borrower, property or deal specific identifiers are redacted; or (y) such information has already been provided to the Rule 17g-5 Information Provider.

The Securities Administrator, as the initial Rule 17g-5 Information Provider (the “Rule 17g-5 Information Provider”) shall notify PrimeLending Flagstar in writing of any change in the identity or contact information of the Rule 17g-5 Information Provider. The Securities Administrator, as the initial Rule 17g-5 Information Provider (the “Rule 17g-5 Information Provider”) shall notify PrimeLending WX Xxxxxxx in writing of any change in the identity or contact information of the Rule 17g-5 Information Provider. To the extent that a Rating Agency makes an inquiry or initiates communications with the Borrower Parties, the Collateral Manager, the Collateral Administrator or the Collateral Custodian regarding the Collateral Obligations relevant to such Rating Agency’s surveillance of the Loan Agreement, all responses to such inquiries or communications from such Rating Agency shall be made in writing by the responding party and shall be provided to the Information Agent who shall promptly forward for posting such written response to the e-mail address established by the Borrower Parties for posting on the internet website established by the Borrower Parties for posting of 17g-5 Information (the “17g-5 Website”), access to which is limited to Rating Agencies and nationally recognized statistical rating organization organizations as the term is used in U.S. federal securities law (“NRSRONRSROs”) via electronic mail at rxxx00x0xxxxxxxxxxxxxxxxxxx@xxxxxxxxxx.xxx, with who have provided a subject reference of “SEMT 2012-4” and certification executed by an identification NRSRO in favor of the type of information being Borrower Parties that states that such NRSRO has provided in the body of Borrower Parties with the appropriate certifications under Exchange Act 17g-5(e) and that such electronic mail. The Securities Administrator, as NRSRO has access to the initial Rule 17g-5 Information Provider Website (the “Rule 17g-5 Information ProviderNRSRO Certification”) shall notify PrimeLending in writing of any change in the identity or contact information of the Rule 17g-5 Information Provider. None of the foregoing restrictions in this Section 22 prohibit or restrict oral or written communications, or providing information, between PrimeLending, that such response has been forwarded for posting on the one hand17g-5 Website, and any Rating Agency or NRSRO, on the other hand, with regard to (i) such Rating Agency’s or NRSRO’s review of the ratings it assigns to PrimeLending or (ii) responding party may provide such Rating Agency’s or NRSRO’s evaluation of PrimeLending’s operations in general; provided, however, that PrimeLending shall not provide any information relating to the Mortgage Loans response to such Rating Agency or NRSRO in connection with such review and evaluation by such (all information required to be posted to Rating Agency or NRSRO unless: (x) borrowerAgencies pursuant to this Section 23, property or deal specific identifiers are redacted; or (y) such information has already been provided to the Rule 17g-5 Information ProviderInformation”).

PrimeLending Benchmark hereby agrees that it shall provide information with respect to the Mortgage Loans or the origination thereof to any Rating Agency or nationally recognized statistical rating organization (“NRSRO”) via electronic mail at rxxx00x0xxxxxxxxxxxxxxxxxxx@xxxxxxxxxx.xxxxxxx00x0xxxxxxxxxxxxxxxxxxx@xxxxxxxxxx.xxx, with a subject reference of “SEMT 2012-43” and an identification of the type of information being provided in the body of such electronic mail. The Securities Administrator, as the initial Rule 17g-5 Information Provider (the “Rule 17g-5 Information Provider”) shall notify PrimeLending Benchmark in writing of any change in the identity or contact information of the Rule 17g-5 Information Provider. PrimeLending Benchmark shall have no liability for (i) the Rule 17g-5 Information Provider’s failure to post information provided by it in accordance with the terms of this Agreement or (ii) any malfunction or disabling of the website maintained by the Rule 17g-5 Information Provider.
