Common use of RISK FACTOR Clause in Contracts

RISK FACTOR. The main risk factor associated with the SPA is the risk of termination of the Agreement. However, such risk is mitigated as the Company has and will continue to exercise due care in maintaining a good relationship between the parties and is strongly committed towards this SPA. The Parties had formalise the terms and conditions of the SPA via the JV Agreement, Supplemental JVA, Amended and Restated JVA, Shareholders Agreement and SPA which regulates the Parties’ relationship and responsibility. Barring unforeseeable circumstances, there are no significant risk factors associated in undertaking the SPA apart from the business risks inherent in the property development industry. MPCB will monitor these exposures to overcome avoidable factors or to minimize the adverse impact on the Group’s financials and reputation.
