Common use of Rights Upon Expiration Clause in Contracts

Rights Upon Expiration. Neither party shall have any further rights or obligations upon the expiration of this Agreement upon its regularly scheduled expiration date with respect to this Agreement, other than the obligation of Licensee to make any and all reports and payments for the final quarter period. Provided, however, that upon such expiration, each party shall be required to continue to abide by its non-use and non-disclosure obligations as described in Section 7.1, and Licensee shall continue to maintain records under Section 2.10 and abide by its obligation to indemnify Scripps as described in Section 4.3 and by its obligations under Section 6.2 hereof.

Provided, however, that upon such expiration, each party shall be required to continue to abide by its non-use and non-disclosure confidentiality obligations as described in Section 7.110, and Licensee shall continue to maintain records under Section 2.10 and abide by its obligation to indemnify Scripps Licensor as described in Section 4.3 and by its obligations under Section 6.2 hereof6.3 for products sold prior to the termination.

Rights Upon Expiration. Neither party shall have any further rights or obligations upon the expiration of this Agreement upon its regularly scheduled expiration date with respect to this Agreement, other than the obligation of Licensee to make any and all reports and payments for the final quarter period, and to submit to audit if necessary, in accordance with Section 2.9 hereof. Provided, however, that upon such expiration, each party shall be required to continue to abide by its non-use and non-disclosure obligations as described in Section 7.16.1, and Licensee shall continue to maintain records under Section 2.10 and abide by its obligation to indemnify Scripps Rensselaer as described in Section 4.3 3.3 and by its obligations under Section 6.2 5.2 hereof.
