Right to Terminate; Disgorgement. The Grantee understands that the Company is granting to the Grantee the Performance Shares to reward the Grantee for the Grantee’s future efforts and loyalty to the Company and its Affiliates by giving the Grantee the opportunity to participate in the equity of the Company. Accordingly, if the Grantee: (a) engages in any Prohibited Activity; (b) engages in any Competitive Activity; or (c) is convicted of a crime against the Company or any Affiliate, then, in addition to any other rights and remedies available to the Company, the Company shall be entitled, in its sole discretion and irrespective whether a Lapse Date has occurred, to require upon written demand the forfeiture of (and the Grantee shall be obligated upon such written demand to repay) the Performance Shares to the Company (including any net cash proceeds from the sale of any Performance Shares effected by the Grantee).   • Employee’s Right to Terminate for Good Reason Employee shall have the right to terminate Employee’s employment with the Company at any time for “Good Reason.” For purposes of this Agreement, “Good Reason” shall mean:

  • Right to Terminate Employment No provision of this Agreement shall limit in any way whatsoever any right that the Company or a Subsidiary may otherwise have to terminate the employment of the Grantee at any time. Nothing herein shall be deemed to create a contract or a right to employment with respect to the Grantee.

  • Right to Terminate Notwithstanding anything to the contrary set forth in this Agreement, this Agreement may be terminated and the transactions contemplated herein abandoned at any time prior to the Closing:
