Right to Recapture TIF Incentive Payments; Conditions Precedent. Developer acknowledges and agrees that the Substantial Completion of the Project is an express condition precedent to the Developer’s right to receive the Recapture TIF Incentive Payment. Without limiting the foregoing, if such Substantial Completion shall not have occurred as of , then the Recapture TIF Incentive Payment based upon the Incremental TIF derived from Project shall automatically and by operation of law without the need for further action by either party be divested and shall terminate and be of no further force and effect and the Developer shall not be entitled to any Incremental TIF with respect to the Project. In such event, this Agreement shall be deemed terminated and of no further force and effect between the parties, and the CRA shall be released by the Developer from its obligations hereunder.
