Common use of Return of PHI to Covered Entity Upon Termination Clause in Contracts

Return of PHI to Covered Entity Upon Termination. Upon termination of the Agreement for any reason, Business Associate shall return all PHI to the Covered Entity. The Covered Entity may request in writing that Business Associate destroy all PHI upon termination of this Agreement rather that returning PHI to the Covered Entity. If the return or destruction of PHI is not feasible upon termination of the Agreement, then Business Associate shall explain in writing, directed to the Covered Entity’s Chief Privacy Officer, why such return or destruction is not feasible. If such return or destruction is not feasible, then Business Associate agrees that it shall extend its obligations under this Agreement to protect the PHI. The Business Associate shall limit its use or disclosure of such PHI to only those purposes that make it infeasible to return or destroy the PHI and shall maintain such PHI only for that period of time that return or destruction of PHI remains infeasible.
