Common use of Return of Evaluation Material Clause in Contracts

Return of Evaluation Material. Promptly upon the written request of the Disclosing Party, the Receiving Party will return all copies of the Evaluation Material to the Disclosing Party. All notes, studies, reports, memoranda and other documents prepared by the Receiving Party or its Representatives that contain or reflect the Evaluation Material shall, if requested by the Disclosing Party, be destroyed.

All notes, studies, reports, memoranda memoranda, and other documents prepared by the Receiving Party or its Representatives that contain or reflect the Evaluation Material shall, if requested by the Disclosing Party, shall be destroyed. Any copies stored on any kind of electronic medium shall be permanently deleted. Receiving party and its Representatives shall certify in writing to Disclosing Party compliance with the forgoing requirements.

All Party or destroy same, along with all memoranda, notes, studiesabstracts, reports, memoranda and or other documents writings prepared by the Receiving Party based on or its Representatives that contain or reflect referencing the Evaluation Material shall(including without limitation, if requested by any information stored on any data storage media); provided that Receiving Party may retain one copy of the Disclosing PartyEvaluation Material in order to comply with applicable law, be destroyedregulations, and internal document retention compliance and automated electronic backup policies and procedures.
