Common use of Retirement and Welfare Benefits Clause in Contracts

Retirement and Welfare Benefits. During the Term, the Executive shall be eligible to participate in the Company’s health, life insurance, long-term disability, retirement and welfare benefit plans and programs, pursuant to their respective terms and conditions. Nothing in this Agreement shall preclude the Company or any Affiliate of the Company from terminating or amending any employee benefit plan or program from time to time after the Effective Date.

Retirement and Welfare Benefits. During the Term, the Executive shall be eligible to participate in the Company’s health, life insurance, long-term disability, retirement and welfare benefit plans plans, and programsprograms available to similarly-situated employees of the Company, pursuant to their respective terms and conditions. Nothing in this Agreement shall preclude the Company or any Affiliate (as defined below) of the Company from terminating or amending any employee benefit plan or program from time to time after the Effective Date.

Nothing in this Agreement shall preclude the Company or any Affiliate affiliate of the Company from terminating or amending any employee benefit plan or program from time to time after the Effective Dateeffective date of this Agreement.

The Company shall also reimburse the Executive for access to private health clinics for him and his spouse (Telus Health Centres).

During the Term, the Executive shall be eligible to participate in the Company’s health, life insuranceinsurance (at the CEO level of coverage), long-term disability, retirement retirement, deferred compensation, stock purchase and welfare benefit plans and programsprograms available to executives of the Company, pursuant to their respective terms and conditions. Nothing in this Agreement shall preclude the Company or any Affiliate affiliate of the Company from terminating or amending any employee benefit plan plan, program or program policy from time to time after the Effective Date.

During the Term, the Executive shall be eligible to participate in the Company’s any health, life insurance, long-term disability, retirement and welfare benefit plans and programsprograms sponsored by the Employer, in each case as may be generally available to senior executives of the Employer, pursuant to their the plans’ and programs’ respective terms and conditionsconditions as in effect from time to time. Nothing in this Agreement shall preclude the Company or any Affiliate of the Company Employer from terminating or amending any employee benefit plan or program from time to time after the Effective Date.

Retirement and Welfare Benefits. During the TermTerm and following the Part-Time Period, the Executive shall be eligible to participate in the Company’s health, life insurance, long-term disability, retirement and welfare benefit plans plans, and programsprograms available to similarly-situated employees of the Company, pursuant to their respective terms and conditions. Nothing in this Agreement shall preclude the Company or any Affiliate (as defined below) of the Company from terminating or amending any employee benefit plan or program from time to time after the Effective Date.

To the extent Executive incurs COBRA premiums during her first 90 days’ employment with URBN, the Company will reimburse Executive for such premiums.
