Restrictions of Sale, Transfer, Conveyance and Ownership. During the Term of this Agreement, neither Presto nor any future owner shall use, sell, transfer or convey ownership of any of the Property or the Expansion Property to any person or entity, in any manner which would render all or any part of the Property or Expansion Property exempt from real property taxation, or would render the personal property located on any of the Property or Expansion Property exempt from personal property taxation, without the prior written consent of Waupaca, and this Agreement constitutes a deed restriction effectuating this provision.

  • Assignments and Transfers No Party may assign any of its rights and benefits or transfer any of its rights, benefits and obligations in respect of any Debt Documents or the Liabilities except as permitted by this Clause 19.
