Resignations and Removals. (a) On or prior to the Distribution Date or as soon thereafter as practicable, (i) Air Products shall cause all its employees and any employees of its Subsidiaries (excluding any employees of any member of the Versum Group) to resign or be removed, effective as of the Separation Time or such other time as the Parties shall mutually agree, from all positions as officers or directors of any member of the Versum Group in which they serve, and (ii) Versum shall cause all its employees and any employees of its Subsidiaries to resign, effective as of the Separation Time, from all positions as officers or directors of any members of the Air Products Group in which they serve.
