Common use of Resignation Clause in Contracts

Resignation. The Escrow Agent may resign at any time and be discharged from its duties as escrow agent hereunder by its giving the other parties hereto written notice and such resignation shall become effective as hereinafter provided. Such resignation shall become effective at such time that the Escrow Agent shall turn over to a successor escrow agent appointed by the Company, the Escrow Shares held hereunder. If no new escrow agent is so appointed within the 60 day period following the giving of such notice of resignation, the Escrow Agent may deposit the Escrow Shares with any court it reasonably deems appropriate.

Such resignation shall become effective at such time that the Escrow Agent shall turn over to a successor escrow agent appointed by the CompanyCompany upon consent by the Representative with such consent not to be unreasonably withheld, the Escrow Shares held hereunder. If no new escrow agent is so appointed within the 60 sixty (60) day period following the giving of such notice of resignation, the Escrow Agent may deposit the Escrow Shares with any court it reasonably deems appropriate.

Resignation. If no new escrow agent is so appointed within the 60 day sixty (60)-day period following the giving of such notice of resignation, the Escrow Agent may deposit the Escrow Earn-Out Shares with any court it reasonably deems appropriateappropriate in the State of New York.

Such resignation shall become effective at such time that the Escrow Agent shall turn over to a successor escrow agent appointed by the Company, the Escrow Shares Founder Warrants held hereunder. If no new escrow agent is so appointed by the Company within the 60 60-day period following the giving of such notice of resignation, the Escrow Agent may deposit the Escrow Shares Founder Warrants with any court it reasonably deems appropriate.

Resignation. The Escrow Agent may resign at any time and be discharged from its duties as escrow agent hereunder by its giving the other parties hereto written notice and such resignation shall become effective as hereinafter provided. Such resignation shall become effective at such time that the Escrow Agent shall turn over to a successor escrow agent appointed by the CompanyCompany and approved by the Member Representative, the Escrow Shares Escrowed Indemnification Stock held hereunder. If no new escrow agent is so appointed within the 60 day period following the giving of such notice of resignation, the Escrow Agent may deposit the Escrow Shares Escrowed Indemnification Stock with any court it reasonably deems appropriate.

If no new escrow agent is so appointed within the 60 sixty (60) day period following the giving of such notice of resignation, the Escrow Agent may deposit the Escrow Shares with any court it reasonably deems appropriate.

Such resignation shall become effective at such time that the Escrow Agent shall turn over to a successor escrow agent appointed by the Company, the Escrow Shares Private Placement Warrants held hereunder. If no new escrow agent is so appointed by the Company within the 60 60-day period following the giving of such notice of resignation, the Escrow Agent may deposit the Escrow Shares Private Placement Warrants with any court it reasonably deems appropriate.
