Resignation and Discharge of Escrow Agent. At any time, upon ten (10) days’ prior written notice to the Company and the Investors, Escrow Agent may resign from its duties as Escrow Agent hereunder. At any time, upon ten (10) days’ prior written notice to the Escrow Agent, the Company and the Investors holding two-thirds (66 2/3%) of the Shares may discharge the Escrow Agent from its duties as Escrow Agent hereunder. As soon as practicable after its resignation or discharge, Escrow Agent will promptly turn over to a successor escrow agent appointed jointly by the Company and the Investors the Escrow Shares held hereunder upon presentation of a document appointing the new escrow agent and evidencing its acceptance thereof. If, by the end of the 10-day period following the giving of notice of resignation by Escrow Agent the Company and the Investors shall have failed to appoint a successor escrow agent, then (a) Escrow Agent’s sole responsibility after that time shall be to retain and safeguard the Escrow Shares until receipt of a designation of successor Escrow Agent or joint written instructions by the Company and the Investors or a final, nonappealable order of a court of competent jurisdiction and (b) Escrow Agent may interplead the Escrow Shares into the registry of any court having jurisdiction.

Resignation and Discharge of Escrow Agent. (a) The Escrow Agent may resign and thereby become discharged from the trusts hereby created, by written notice mailed to the Authority by registered or certified mail. Such resignation shall take effect upon the appointment of a new Escrow Agent hereunder and acceptance of the trusts (to include all cash held hereunder) hereby created. The Escrow Agent shall continue to serve as Escrow Agent until a successor is appointed, and the Escrow Agent may, after sixty (60) days subsequent to its resignation, petition the Circuit Court of the City of Richmond, Virginia, for the appointment of a successor Escrow Agent if one has not yet been appointed.
