Residual. Vendor will pay to Dealer a monthly recurring residual fee (the "Residual") equal to *** of the gross revenue received by Vendor for the monthly service fee for the Services (and excluding any modem rental charges of up to *** per month, and excluding any taxes, governmental surcharges, and other similar charges) from each Member during the first *** months of such Member's agreement to purchase Clearwire Authorized Services. Payment of the Residual will be made within thirty (30) calendar days from the end of the calendar month in which the Member Activations occur. Vendor's obligation to pay such Residuals survives the expiration or termination of this Agreement, unless termination results from Dealer's breach of this Agreement.
