Required Facility Documents. Pursuant to the Required Facility Documents, Seller holds as of the Effective Date, or will hold by the Commercial Operation Date, all Permits, authorizations, rights and agreements necessary to construct, own, operate and maintain the Facilities and to deliver Net Output to Buyer in accordance with this Agreement. The anticipated use of the Facilities complies with all applicable restrictive covenants affecting the Premises and all Requirements of Law.
