REPRESENTATIONS AND WARRANTIES OF THE SELLERS AND THE CORPORATION. Each of the Sellers and the Corporation, as applicable, hereby make the following representations and warranties to the Purchaser and acknowledge that the Purchaser is relying on such representations and warranties in entering into this Agreement and completing the Transactions:

The Sellers and the Corporation, jointly and severally, warrant and represent to the Buyer and ABT as follows (as used herein, "Sellers' best knowledge" "Corporations best knowledge" "to the best knowledge of the Sellers" or "to the best knowledge of the Corporation" or such similar language shall mean information actually known by the Sellers without due inquiry): Buyer and ABT acknowledge that, except for the representations and warranties expressly contained in this Agreement and other documents made and delivered as part of this transaction, that neither the Corporation nor the Sellers are making any representation or warranty to Buyer or ABT, and that Buyer is purchasing the Stock of the Corporation "AS IS" and based upon its independent review of the Corporation and the results of Buyer's due diligence review of the Corporation.
