Representations and Warranties of the Seller and the Subsidiary. Except as set forth in the disclosure schedule attached hereto as Schedule 4 (the "Disclosure Schedule") (which Disclosure Schedule shall contain appropriate references to applicable Sections and subsections of the Agreement to which such Section and subsection references relate), the Seller and the Subsidiary, jointly and severally, represent, warrant, and agree that, at and as of the date of this Agreement and at and as of the Closing Date, the following statements shall be true in all respects:
