Each of the representations and warranties by Sub and Parent contained in this Agreement, disregarding any modification by any notice given pursuant to Section 7.04, shall be true and correct in all material respects as of the date hereof and as of the Closing Date (except to the extent such representations and warranties speak as of an earlier date) with the same force and effect as though made at and as of the Closing Date, except where the failure to be so true and correct (without giving effect to the individual materiality qualifications and thresholds otherwise contained in Article V hereof) could not reasonably be expected to have a Material Adverse Effect on Parent and its Subsidiaries taken as a whole.
