REPRESENTATIONS AND WARRANTIES OF STOCKHOLDER AND THE COMPANY. As an inducement to Buyer and ATC to enter into this Agreement and to consummate the transactions contemplated herein, Stockholder and the Company represent and warrant to Buyer and ATC as follows:
REPRESENTATIONS AND WARRANTIES OF STOCKHOLDER AND THE COMPANY. The Company and the Stockholder, jointly and severally, represent and warrant to COMPS as of the Closing, except as set forth on the Disclosure Schedule furnished to COMPS specifically identifying the relevant section hereof, which exceptions shall be deemed to be representations and warranties as if made hereunder (provided that the disclosures in such exceptions shall be true, complete and correct), as follows:
REPRESENTATIONS AND WARRANTIES OF STOCKHOLDER AND THE COMPANY. The Company, as to the time period up to and including Closing only, and Stockholder, jointly and severally, represent and warrant to Buyer that the statements contained in this Article 4: (i) are correct and complete as of the Effective Date; (ii) will be correct and complete as of the Closing Date; and (iii) shall survive the Closing.
