Representations and Warranties of P&G. Each of the P&G Parties hereby jointly and severally represents and warrants to the Clorox Parties as follows, subject to the exceptions set forth on the P&G Disclosure Schedule:
Representations and Warranties of P&G. Except as set forth in the disclosure letter prepared by P&G and attached to this Agreement (the “P&G Disclosure Letter”), which P&G Disclosure Letter shall be organized into sections corresponding to the Sections (or, if applicable, subsections) of this Article III (provided, that any disclosure in a Section or subsection of the P&G Disclosure Letter shall apply to the corresponding Section or subsection of this Article III, as well as to the matters represented or warranted in such other Sections or subsections of this Article III with respect to which it is reasonably apparent on the face of such disclosure that such disclosure would apply or qualify, P&G hereby represents and warrants to Purchaser as of the date hereof and as of the Closing Date (except with respect to any representations and warranties expressly relating to an earlier date, in which case as of such earlier date) as follows:
