REPRESENTATIONS AND WARRANTIES OF HDI AND THE SHAREHOLDER. Except as disclosed in a document referring specifically to the representations and warranties in this Agreement which identifies by section number the section to which such disclosure relates and is delivered by HDI and the Shareholder to OnHealth prior to the execution of this Agreement (the "HDI DISCLOSURE Schedule"), and whether or not the HDI Disclosure Schedule is referred to in a specific section, HDI and the Shareholder, jointly and severally, represent and warrant to OnHealth and the Subs as follows:
