REPRESENTATIONS AND WARRANTIES OF EDIFY. Edify hereby makes the following representations and warranties to S1 and Merger Sub as set forth in this Article III, subject to the exceptions disclosed in writing in the Edify Disclosure Schedule as of the date hereof, each of which is being relied upon by S1 and Merger Sub as a material inducement to enter into and perform this Agreement. All of the disclosure schedules of Edify referenced below or otherwise required pursuant to this Agreement are referred to herein as the "Edify Disclosure Schedule."
