REPRESENTATIONS AND WARRANTIES OF CALANDO. Calando represents and warrants to Insert that the statements contained in this Article IV are current and complete, except as set forth in the Calando Schedule of Exceptions, which Calando Schedule of Exceptions shall specifically identify the section of this Agreement for which each exception is taken. Any matter disclosed in any section of the Calando Schedule of Exceptions shall be considered disclosed for other sections of the Calando Schedule of Exceptions, but only to the extent such matter on its face would reasonably be expected to be pertinent to a particular section of the Calando Schedule of Exceptions in light of the disclosure made in such section. The provision of monetary or other quantitative thresholds for disclosure does not and shall not be deemed to create or imply a standard of materiality hereunder.
