REPRESENTATIONS AND WARANTIES OF THE WARRANTORS. Each of the Warrantors hereby jointly and severally represents and warrants to the Investor that, except as set forth on Schedule of Exceptions delivered separately to the Investor, which exceptions shall be deemed to be part of the representations and warranties made hereunder, the following representations are true, correct and complete as of the date hereof and each day up to and including the date of Closing, except as otherwise expressly indicated. The representations and warranties of the Warrantors contained in this Section 2 shall survive the execution and delivery of this Agreement and the Closing without limit of time.
