Representations are True. All written representations, recitals and affirmations made in this Agreement by any Party shall be true and correct in all material respects as of the Closing Date as if made at the Closing, except for changes in the usual and ordinary course of business that, individually or in the aggregate, do not affect materially the financial condition, business or prospects of the Party that made the representation that has changed or would not have a material adverse effect on such Party's ability to perform its obligations under this Agreement. No Party may avoid its obligations under this Agreement by asserting that its own representations are not true and correct in all material respects as of the Closing Date.
Representations are True. The Seller's representations and warranties ------------------------ in Clause 7.1 shall be true in all material respects as of the Effective Date and the Closing Date and the Seller shall have delivered to the Purchaser a certificate of a senior officer of the Seller, in the form of Schedule "H"; and

If requested by NGP, PRP shall execute and deliver to NGP prior to the Closing a certificate updating the representations and warranties of such parties through Closing and disclosing any new matters relating to the Property.
