Common use of Representation or Warranty Clause in Contracts

Representation or Warranty. Any representation, warranty or certification by or on behalf of any Credit Party or any of its Subsidiaries made or deemed made herein, in any other Loan Document, or which is contained in any certificate, document or financial or other statement by any such Person, or their respective Responsible Officers, furnished at any time under this Agreement, or in or under any other Loan Document, shall prove to have been incorrect in any material respect (without duplication of other materiality qualifiers contained therein) on or as of the date made or deemed made; or

Representation or Warranty. Any representation, warranty or certification by or on behalf of any Credit Party or any of its Subsidiaries made or deemed made herein, in any other Loan Document, or which is contained in any certificate, document or financial or other statement by any such Person, or their respective Responsible Officers, furnished at any time under this Agreement, or in or under any other Loan Document, shall prove to have been incorrect in any material respect (without duplication of other materiality qualifiers contained therein) on or as of the date made or deemed made; or

Any representation, warranty or certification by or on behalf of any Credit Party or any of its Restricted Subsidiaries made or deemed made herein, in any other Loan Document, Document or which is contained in any certificate, document certificate required to be delivered under this Agreement or financial or any other statement Loan Document by any such Person, or their respective Responsible Officers, furnished at any time under this Agreement, or in or under any other Loan Documenteach case, shall prove to have been incorrect in any material respect (without duplication of other materiality qualifiers contained therein) on or as of the date made or deemed made; or;

Any representation, representation or warranty made by the Borrower or certification by or on behalf of any Credit Party or any of its Subsidiaries made or deemed made herein, in any other Loan Document, Party herein or which is contained in any certificate, Credit Document or in any Compliance Certificate or other document or financial or other statement instrument delivered from time to time to any of the Credit Parties by any such Person, or their respective Responsible Officers, furnished at any time under this Agreement, or in or under any other Loan Document, Party shall prove to have been incorrect in any material respect (without duplication of or in any respect, if such representation or warranty or certification is qualified by materiality, Material Adverse Change or other materiality qualifiers contained thereinsimilar language) on or as of the date made or deemed made; or.

Any representation, warranty or certification by or on behalf of any Credit Guarantor, Loan Party or any of its Subsidiaries made or deemed made herein, in any other Loan Document, or which is contained in any certificate, document or financial or other statement by any such Person, or their respective Responsible Officers, furnished at any time under this Agreement, or in or under connection with any other Loan Document, shall prove to have been incorrect in any material respect (without duplication of other materiality qualifiers contained therein) on or as of the date made or deemed made; or.

Any representation, warranty or certification by or on behalf of any Credit Party Applicant or any of its Subsidiaries made or deemed made herein, in any other Loan Credit Document, or which is contained in any certificate, document or financial or other statement by any such Person, or their respective Responsible Officers, furnished at any time under this Agreement, or in or under any other Loan Credit Document, shall prove to have been incorrect in any material respect (without duplication of other materiality qualifiers contained therein) on or as of the date made or deemed made; or;
