Removal of Directors who fail to Act in accordance with Terms. If a Director refuses to exercise his discretion to vote and act as a Director (other than a Director abstaining from voting as required by law or voting in accordance with the requirements of the Act) so as to fully carry out the terms of this Agreement, then the Shareholders shall, on the request of a Shareholder, promptly convene a meeting of Shareholders pursuant to the Act and vote their respective Shares to remove such Director from the Board and elect a replacement Director in accordance with Section 3.1 who will, to the extent permitted by law, choose to exercise his discretion to vote and act as a Director so as to fully carry out the terms of this Agreement.
